RAYTHEON CYBER PRODUCTS AND WEBSENSE COMBINE TO CREATE PIONEERING NEW CYBERSECURITY COMPANY

As Websense CEO, I have an exciting announcement to make about the future of our organization. Today Raytheon announced the formation of a joint venture with leading private equity firm Vista Equity Partners to create a first-of-its-kind commercial cybersecurity company specifically designed to meet the needs of the evolving cybersecurity environment. This joint venture will combine Websense, a leading provider of data theft prevention and a Vista Equity Partners portfolio company, with Raytheon Cyber Products, the products-focused portion of Raytheon's overall Cyber business.

This company sets a new standard in the market—defense-grade cybersecurity for organizations worldwide. We are combining Raytheon's unique expertise in protecting critical assets with Websense's proven ability to defend against advanced cyber-attacks and data theft. Our goal is to become the leading security vendor by providing defense-grade cybersecurity that meets customers' complex and ever-evolving challenges. I will have the privilege of leading this new company as CEO and we will be headquartered in Austin, Texas. Operationally, the new company will report to Raytheon's Intelligence, Information and Services (IIS) business led by Dave Wajsgras, president of Raytheon IIS.

I want to emphasize what this development means for you as a Websense partner and your customers.

1. The Channel remains a critical part of our go-to-market plans:
   • Our Channel relationships around the world are the foundation of our success, and our resellers and distributors will continue to be important partners of the new company
2. The TRITON® APX platform will expand with a new and improved product portfolio:
   • The combination of Raytheon and Websense technologies creates a company with unique, defense-grade capabilities and a product portfolio unmatched in the industry
   • As a Websense channel partner, you will have access to sell and implement software solutions that bring defense-grade security to organizations. New modules and functionality added to the TRITON APX platform will expand opportunities to penetrate into new and different areas within the customer base
   • The Raytheon product and solution offerings are complimentary to the Websense solutions and we expect rapid roadmap integration
3. The scope of your customers' defenses will extend via the advanced threat protection capabilities of our combined products:
   • Your customers will have access to technology that was once only available to protect highly sensitive government and military networks from the world's most sophisticated cyber threats
   • You will be able to expand into new and different buying centers within your customer base
   • You will be able to utilize the technology of this new venture to solve more of your customers' complex data theft protection concerns and enable them to innovate and grow in an age of disruptive change
   • New products and functionality will be added as R&D efforts realize the combination of intellectual property—in the form of technology, patents, methods and cyber intelligence—generated from years of protecting some of the world's most sensitive assets. We will continue to unveil new security capabilities that will significantly extend the scope of your customers' current defenses
